Corporate Paralegal - West Los Angeles

Position Summary

\n
• Monday–Friday, 5 days in office
\n
• $30–$45/hour, depending on experience
\n
• Temporary with potential for temp-to-hire
\n
• Paralegal certificate required
\n

A mid-size boutique law firm in West Los Angeles is seeking an experienced Corporate / Transactional Paralegal to provide coverage during a leave of absence. This is a temporary opportunity with the possibility of transitioning to a permanent position.

Responsibilities

\n
• Assist with the formation and maintenance of corporations, LLCs, and other business entities in California, Delaware, and Nevada.
\n
• Support corporate governance and ongoing entity compliance matters.
\n
• Prepare and maintain board and stockholder consents, transaction documents, and corporate records.
\n
• Assist with venture capital and private equity financings, from seed-stage through later-stage rounds.
\n
• Support M&A transactions on the buyer and/or seller side, including due diligence and closings.
\n
• Maintain capitalization tables and assist with equity issuances and equity plans.
\n
• Coordinate transaction documents, signatures, filings, and closing materials.
\n
• Manage multiple matters and deadlines while communicating with attorneys, clients, and external parties.
\n

Qualifications

\n
• At least 2 years of recent, continuous corporate or transactional paralegal experience, preferably in a law firm environment.
\n
• Paralegal certificate required.
\n
• Familiarity with California, Delaware, and Nevada business entities, including corporations and LLCs.
\n
• Experience with entity formations, corporate governance, and ongoing compliance.
\n
• Experience supporting venture/private equity financings and M&A transactions.
\n
• Experience with capitalization tables, equity issuances, and corporate records.
\n
• Strong organizational skills with the ability to manage multiple matters and competing deadlines.
\n
• Excellent attention to detail and accuracy in document preparation and filings.
\n
• Strong written and verbal communication skills with the ability to coordinate effectively with attorneys, clients, and outside parties.
