About the Firm:

A growing, sophisticated Chicago-based law firm is seeking an experienced Corporate Paralegal to join its corporate practice. The firm works with a diverse client base that includes private equity firms, venture capital investors, startups, founders, family offices, and established companies on complex corporate and transactional matters.

This is a great opportunity for a corporate paralegal who enjoys taking ownership of transactions and working directly with attorneys and clients in a fast-paced, collaborative environment.

About the Role:

The Corporate Paralegal will work directly with attorneys on sophisticated M&A, private equity, venture capital, corporate finance, and general corporate matters . This person will manage the paralegal aspects of multiple transactions simultaneously, coordinate closings and deliverables, and provide ongoing corporate governance and entity-management support.

Responsibilities:

\n
• Managing paralegal responsibilities across M&A and other corporate transactions, including closing checklists, transaction timelines, and post-closing matters
\n
• Preparing and coordinating signature packets, execution documents, closing deliverables, and closing sets
\n
• Coordinating due diligence and virtual data rooms
\n
• Handling UCC filings, lien searches, good standing certificates, and other transaction-related searches and filings
\n
• Forming and maintaining corporations, LLCs, partnerships, and other business entities
\n
• Preparing and maintaining organizational documents, corporate records, board and stockholder consents, minutes, and governance materials
\n
• Supporting equity issuances, capitalization records, stock certificates, and related corporate documentation
\n
• Communicating directly with attorneys, clients, opposing counsel, and third-party vendors throughout transactions
\n

Qualifications:

\n
• 3+ years of corporate paralegal experience
\n
• Meaningful experience supporting M&A or other corporate transactions
\n
• Prior law firm experience strongly preferred
\n
• Working knowledge of corporate governance, entity formation and maintenance, and transactional processes
\n
• Strong organizational and time-management skills with the ability to manage multiple active matters simultaneously
\n
• Detail-oriented, proactive, and comfortable working independently with limited day-to-day supervision
\n
• Strong written and verbal communication skills
\n

Preferred Experience:

\n
• Private equity, venture capital, or startup transactional work
\n
• Carta or similar equity-management platforms
\n
• Form D and Blue Sky filings
\n
• Equity issuances, incentive plans, and capitalization records
\n
